Terms of Service

These terms govern our software development services and establish the foundation for successful project partnerships with clear expectations and responsibilities.

By engaging DevAIZen for software development services, you agree to be bound by these terms and conditions.

Service Agreement & Scope

Software Development Services

  • Custom software development including web applications, mobile apps, and enterprise solutions
  • AI/ML development, data analytics platforms, and intelligent automation systems
  • Cloud infrastructure setup, DevOps implementation, and system architecture design
  • Quality assurance, testing, maintenance, and ongoing technical support services

Project Scope & Requirements

  • Detailed project specifications will be documented in separate Statement of Work (SOW) agreements
  • Any changes to project scope require written approval and may affect timeline and budget
  • Client is responsible for providing accurate requirements, assets, and timely feedback
  • DevAIZen reserves the right to recommend alternative solutions for better project outcomes

Service Standards

  • All development work follows industry best practices and coding standards
  • Regular progress updates and milestone deliveries as specified in project agreements
  • Comprehensive documentation, source code, and deployment guides provided
  • Post-deployment support period included as specified in individual service agreements

Client Responsibilities

Information & Access

  • Provide complete and accurate project requirements, specifications, and business objectives
  • Supply necessary assets including branding materials, content, APIs, and third-party credentials
  • Grant appropriate access to existing systems, databases, and development environments
  • Designate authorized representatives for project decision-making and approvals

Feedback & Communication

  • Respond to requests for feedback, clarification, and approvals within agreed timeframes
  • Participate in scheduled meetings, demos, and review sessions as outlined in project plan
  • Provide testing resources and user acceptance testing during development phases
  • Report bugs, issues, or concerns promptly to ensure timely resolution

Legal & Compliance

  • Ensure all provided content and requirements comply with applicable laws and regulations
  • Obtain necessary licenses for third-party software, APIs, and services used in the project
  • Maintain confidentiality of DevAIZen's proprietary methodologies and business information
  • Comply with security protocols and access controls for development environments

Payment Terms & Billing

Project Pricing

  • Fixed-price projects: Total cost specified in SOW with payment milestones tied to deliverables
  • Time & materials projects: Hourly rates specified with regular billing cycles (weekly/monthly)
  • Retainer agreements: Pre-paid hours or ongoing support with specified service levels
  • All prices quoted in USD unless otherwise specified in the service agreement

Payment Schedule

  • Initial payment (typically 25-50%) required before project commencement
  • Milestone payments due within 15 days of completed deliverable acceptance
  • Final payment due upon project completion and delivery of all assets
  • Late payments subject to 1.5% monthly service charge and potential project suspension

Additional Costs

  • Third-party software licenses, cloud hosting, and external services billed at cost
  • Scope changes and additional features quoted separately with client approval
  • Emergency support outside business hours subject to premium rates
  • Travel expenses for on-site work (if applicable) billed separately with receipts

Intellectual Property Rights

Client Ownership

  • Custom-developed source code and applications become client property upon final payment
  • Client retains ownership of all business data, content, and proprietary information
  • Branding, logos, and marketing materials provided by client remain client property
  • Domain names, hosting accounts, and third-party services remain under client control

DevAIZen Retention

  • DevAIZen retains rights to general methodologies, frameworks, and development processes
  • Pre-existing intellectual property and proprietary tools remain DevAIZen property
  • Right to use project experience and anonymized case studies for marketing purposes
  • Open-source components and third-party libraries governed by their respective licenses

Confidentiality

  • Both parties agree to maintain strict confidentiality of proprietary information
  • Non-disclosure agreements (NDAs) may be executed for sensitive projects
  • Source code and technical documentation kept confidential unless otherwise agreed
  • Client business information and data protected according to privacy policy

Project Timeline & Delivery

Timeline Management

  • Project timelines estimated based on defined scope and requirements at project start
  • Delivery dates are estimates and may be affected by scope changes or unforeseen circumstances
  • Client delays in providing feedback or approvals may extend project timeline accordingly
  • Force majeure events (natural disasters, pandemics, etc.) may necessitate timeline adjustments

Delivery Process

  • Regular milestone deliveries with client review and acceptance procedures
  • Final deliverables include source code, documentation, and deployment guides
  • Client acceptance required within 7 business days, after which deliverables deemed accepted
  • Post-delivery bug fixes included for 30 days at no additional cost (excludes scope changes)

Testing & Quality Assurance

  • Comprehensive testing performed in development and staging environments
  • Client responsible for user acceptance testing and feedback on staging deployments
  • Production deployment performed after successful client acceptance of staging version
  • Performance optimization and security testing included in standard development process

Warranties & Limitations

Service Warranties

  • DevAIZen warrants that services will be performed with professional skill and industry standards
  • Software deliverables will function substantially as specified in accepted requirements
  • Work will be free from material defects for 30 days following delivery
  • Security implementations will follow current industry best practices and standards

Limitation of Liability

  • DevAIZen's total liability limited to the amount paid for the specific project or service
  • No liability for indirect, consequential, or punitive damages under any circumstances
  • Client responsible for maintaining backups and implementing appropriate security measures
  • DevAIZen not liable for third-party service failures, data breaches, or external factors

Disclaimer

  • No warranty for uninterrupted or error-free operation of delivered software
  • Performance may vary based on hosting environment, network conditions, and usage patterns
  • Third-party integrations subject to external service availability and terms
  • Client responsible for compliance with applicable laws and regulations in their jurisdiction

Termination & Dispute Resolution

Project Termination

  • Either party may terminate project with 30 days written notice
  • Client responsible for payment of all completed work and approved expenses
  • DevAIZen will deliver all completed work and transfer project assets upon final payment
  • Termination for cause (breach of contract) may be immediate with appropriate notice

Dispute Resolution

  • Good faith negotiation required as first step in resolving any disputes
  • Mediation through neutral third party if direct negotiation unsuccessful
  • Binding arbitration through American Arbitration Association if mediation fails
  • Legal proceedings only for enforcement of arbitration awards or injunctive relief

Governing Law

  • These terms governed by laws of [State/Country] without regard to conflict of law principles
  • Any legal proceedings must be conducted in courts of [Jurisdiction]
  • Both parties consent to jurisdiction and venue in specified location
  • English language version of these terms controls in case of translation discrepancies

Contract Precedence: Individual project agreements (SOWs) take precedence over these general terms. These terms serve as the foundation for all projects unless specifically modified in writing.

Updates: We may update these terms periodically. Existing projects remain governed by the terms in effect at project commencement unless all parties agree to updated terms.
